1. Agreement to Terms
These Terms and Conditions ("Terms") govern your access to and use of FuseInvoice ("Service", "we", "our", or "us"), an invoice creation and management service operated by FuseInvoice, a company registered in New Zealand.
By accessing or using our Service, you agree to be bound by these Terms. If you disagree with any part of these Terms, you may not access or use the Service. These Terms apply to all users of the Service, including without limitation users who are browsers, customers, merchants, and contributors of content.
We reserve the right to update, change, or replace any part of these Terms by posting updates and changes to our website. It is your responsibility to check this page periodically for changes. Your continued use of or access to the Service following the posting of any changes constitutes acceptance of those changes.
2. Description of Service
FuseInvoice is a Software-as-a-Service (SaaS) platform that enables users to create, manage, send, and track invoices. Our Service includes:
- Invoice creation and management tools
- Customer information management
- Email delivery of invoices to customers
- Integration with Stripe Connect for online payment processing (requires separate Stripe Connect account setup)
- Payment tracking and invoice status management
- Business profile and settings management
We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice, for any reason.
3. Account Registration and Eligibility
To use our Service, you must:
- Be at least 18 years of age or the age of majority in your jurisdiction
- Provide accurate, current, and complete information during registration
- Maintain and promptly update your account information
- Maintain the security of your account credentials
- Be responsible for all activities that occur under your account
- Notify us immediately of any unauthorized use of your account
You may not create an account for anyone other than yourself, use another person's account, or provide false information. We reserve the right to suspend or terminate accounts that violate these Terms or engage in fraudulent, abusive, or illegal activity.
4. Free Trial
We offer a 14-day free trial period for new users. During the trial period:
- You have full access to all Service features
- No credit card is required to start your trial
- At the end of the trial period, you will be automatically enrolled in a paid subscription unless you cancel before the trial expires
- You may cancel your trial at any time during the trial period without being charged
Only one free trial is permitted per user. We reserve the right to limit or revoke free trials at our discretion, particularly in cases of abuse or fraud.
5. Subscription and Billing
5.1 Subscription Plans
We offer monthly subscription plans. Current pricing and plan details are available on our pricing page. All prices are displayed in USD and are subject to change. We will notify you of any price changes at least 30 days in advance.
5.2 Billing
By subscribing to our Service, you agree to pay the monthly subscription fee associated with your plan. Subscriptions are billed monthly in advance. All payments are processed securely through Stripe.
You authorize us to charge your payment method for the subscription fee on a recurring monthly basis until you cancel your subscription. If payment fails, we may suspend or terminate your access to the Service.
5.3 Automatic Renewal
Your subscription will automatically renew at the end of each billing period unless you cancel it before the renewal date. You will be charged the then-current subscription fee for the next billing period on the renewal date.
5.4 Cancellation
You may cancel your subscription at any time through your account settings or by contacting our support team. When you cancel:
- Your subscription will remain active until the end of your current billing period
- You will continue to have access to all Service features until the end of the billing period
- You will not be charged for any subsequent billing periods
- No refunds will be provided for the current billing period (except as provided in our refund policy below)
5.5 Refunds
We offer a 30-day money-back guarantee. If you are not satisfied with our Service, you may request a full refund within 30 days of your initial subscription purchase. Refund requests must be submitted through our support channels. Refunds will be processed to the original payment method within 5-10 business days.
Refunds are not available for:
- Subscriptions cancelled after 30 days from the initial purchase
- Accounts terminated for violation of these Terms
- Partial billing periods after the initial 30-day period
6. Stripe Connect Integration
To enable online payment processing for your invoices, you may choose to set up a Stripe Connect account. This is an optional feature that allows your customers to pay invoices online.
When you set up Stripe Connect:
- You will be required to create a Stripe Connect account, which is subject to Stripe's terms of service and privacy policy
- Stripe will collect additional information from you, including business verification details, bank account information, and identity verification documents
- Stripe will process payments on your behalf and transfer funds to your connected bank account
- You are responsible for complying with Stripe's terms of service and applicable payment processing regulations
- We are not responsible for Stripe's services, fees, or any disputes between you and Stripe
By using Stripe Connect, you agree to Stripe's Connected Account Agreement and Terms of Service. We are not a party to your agreement with Stripe.
7. User Responsibilities and Acceptable Use
You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:
- Use the Service in any way that violates any applicable law or regulation
- Use the Service to transmit any malicious code, viruses, or harmful data
- Attempt to gain unauthorized access to the Service or any related systems or networks
- Interfere with or disrupt the Service or servers connected to the Service
- Reverse engineer, decompile, or disassemble any part of the Service
- Copy, modify, or create derivative works of the Service
- Use the Service to send spam, unsolicited messages, or harassing communications
- Impersonate any person or entity or misrepresent your affiliation with any person or entity
- Use the Service to create invoices for illegal goods or services
- Violate any third-party rights, including intellectual property rights or privacy rights
You are solely responsible for:
- The accuracy and legality of all invoices and customer information you create
- Compliance with all applicable tax laws and regulations
- Obtaining necessary consents before sending invoices to customers
- All communications with your customers
- Any disputes between you and your customers
8. Intellectual Property
The Service, including its original content, features, functionality, design, and software, is owned by FuseInvoice and is protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.
We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your business purposes in accordance with these Terms. This license does not include:
- The right to resell or commercially exploit the Service
- The right to use the Service for any illegal or unauthorized purpose
- The right to remove any copyright or proprietary notices
- The right to use our trademarks, logos, or brand features without our prior written consent
You retain ownership of all content and data you create or upload to the Service (including invoices and customer information). By using the Service, you grant us a license to use, store, and process your content solely for the purpose of providing the Service to you.
9. Service Availability and Modifications
We strive to provide continuous access to the Service, but we do not guarantee that the Service will be available 100% of the time. The Service may be unavailable due to:
- Scheduled maintenance
- Unscheduled maintenance or repairs
- Technical failures or issues
- Circumstances beyond our reasonable control
We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice. We are not liable to you or any third party for any modification, suspension, or discontinuation of the Service.
10. Data and Privacy
Your use of the Service is also governed by our Privacy Policy, which explains how we collect, use, and protect your information. By using the Service, you consent to the collection and use of your information as described in our Privacy Policy.
You are responsible for:
- Ensuring you have the right to collect and process customer information
- Complying with applicable data protection laws when handling customer data
- Obtaining necessary consents before sending invoices to customers
- Maintaining the security and confidentiality of your account
11. Termination
We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including if you breach these Terms.
Upon termination:
- Your right to use the Service will immediately cease
- You will no longer have access to your account or data
- We may delete your account and data, subject to our data retention policies
- All provisions of these Terms that by their nature should survive termination will survive, including ownership provisions, warranty disclaimers, and limitations of liability
You may terminate your account at any time by cancelling your subscription as described in Section 5.4.
12. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.
We do not warrant that:
- The Service will be uninterrupted, secure, or error-free
- Defects will be corrected
- The Service is free of viruses or other harmful components
- The results obtained from using the Service will be accurate or reliable
13. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL FUSEINVOICE, ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION:
- Loss of profits, data, use, goodwill, or other intangible losses
- Damages resulting from your use or inability to use the Service
- Damages resulting from unauthorized access to or alteration of your data
- Damages resulting from third-party conduct or content
- Damages resulting from any other matter relating to the Service
OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE USE OF OR ANY INABILITY TO USE THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRIOR TO THE EVENT GIVING RISE TO THE LIABILITY, OR ONE HUNDRED DOLLARS (USD $100), WHICHEVER IS GREATER.
Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you. In such jurisdictions, our liability is limited to the maximum extent permitted by law.
14. Indemnification
You agree to defend, indemnify, and hold harmless FuseInvoice, its directors, officers, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, and expenses, including without limitation reasonable legal and accounting fees, arising out of or in any way connected with:
- Your access to or use of the Service
- Your violation of these Terms
- Your violation of any third-party right, including any intellectual property or privacy right
- Your violation of any applicable law or regulation
- Any content or data you submit, post, or transmit through the Service
- Your use of Stripe Connect or any disputes with your customers
15. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of New Zealand, without regard to its conflict of law provisions.
Any dispute arising out of or relating to these Terms or the Service shall be resolved through good faith negotiations. If we cannot resolve a dispute through negotiations within 30 days, either party may seek resolution through:
- Mediation in accordance with the New Zealand Disputes Tribunal or similar mediation service
- Binding arbitration in New Zealand in accordance with the Arbitration Act 1996 (New Zealand)
- Courts of competent jurisdiction in New Zealand
You agree that any legal action or proceeding arising out of or relating to these Terms shall be brought exclusively in the courts of New Zealand, and you consent to the personal jurisdiction of such courts.
16. General Provisions
16.1 Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and FuseInvoice regarding the Service and supersede all prior agreements and understandings.
16.2 Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
16.3 Waiver
No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term, and our failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.
16.4 Assignment
You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign these Terms or any rights hereunder without restriction.
16.5 Force Majeure
We shall not be liable for any failure or delay in performance under these Terms due to circumstances beyond our reasonable control, including natural disasters, war, terrorism, labor disputes, internet or telecommunications failures, or government actions.
17. Changes to Terms
We reserve the right to modify these Terms at any time. We will notify you of any material changes by:
- Posting the updated Terms on this page
- Updating the "Last updated" date at the top of this page
- Sending you an email notification (for significant changes)
- Displaying a notice on the Service
Your continued use of the Service after any changes to these Terms constitutes your acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Service and cancel your subscription.
